Corporate governance

DNV GL group is a direct continuation of the two legacies the DNV group and the GL group. The two legacies DNV group and GL group were merged through a combination agreement in September 2013 and now combined form the DNV GL group headquartered at Høvik, Norway.

DNV GL Group AS, a Norwegian limited company ("DNV GL") was established as the group management company for the DNV GL Group (the "Group") as of September 2013. DNV GL is owned by Det Norske Veritas Holding AS ("DNV Holding") with 63,5 percent and Mayfair Beteiligungsfonds II GmbH & Co. KG ("Mayfair") with 36,5 percent. DNV Holding AS is fully owned by the Stiftelsen Det Norske Veritas, a Norwegian foundation.

The combination between the two legacies DNV Group and GL group was structured by DNV Group AS, a wholly owned subsidiary of DNV Holding, acquiring the group management company of the legacy GL group; Germanischer Lloyd SE. DNV Group AS changed its’ name and became DNV GL Group AS with the combination. The combined ownership of the DNV GL group is governed by a shareholders' agreement.
